Terms of Service

1. Welcome and Overview

Welcome to PF Printing and Labels Inc. (the “Company,” “we,” “us,” or “our”). We operate the website pfprintinglabels.com (the “Site”) and provide custom printing, labeling, and manufacturing services (collectively, the “Services”).

By accessing or using our Site and Services, you (“User,” “Customer,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), as well as our Privacy Policy, Refund and Returns Policy, and Shipping Policy. Please read these Terms carefully before browsing or placing an order. If you do not agree to all of these Terms, you are prohibited from using the Site and must discontinue use immediately.

2. Eligibility and Account Registration

Age Requirement

By agreeing to these Terms, you represent that you are at least the age of majority in your province, state, or country of residence, and that you possess the legal capacity to enter into binding contracts.

Account Security

To purchase certain Services, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Notify us immediately at dawnie@pfprintinglabels.com if you discover or suspect any security breaches related to the Site or your account.
  • Take full responsibility for all activities that occur under your account credentials.

3. Product Descriptions and Pricing

Accuracy of Information

We attempt to describe our products, materials, capabilities, and options as accurately as possible. However, we do not warrant that product descriptions, dimensions, specifications, or other content on the Site are 100% accurate, complete, reliable, or error-free.

Color and Print Variations

Because of variations in monitor displays, lighting, and printing technologies (such as digital printing vs. flexography), the colors of physical printed products may differ slightly from what you see on your computer screen. Minor color shifts within acceptable industry standards do not constitute a defect and are not grounds for a cancellation, refund, or discount.

Pricing Modifications

All prices listed on our Site are in Canadian Dollars (CAD) unless specified otherwise. We reserve the right to modify prices for our products and Services at any time without prior notice. Price changes will not affect orders that have already been fully placed and confirmed.

4. Ordering, Artwork, and Custom Printing

Artwork Submission

When you upload or submit graphics, logos, text, designs, or other files (collectively, “Artwork”) for custom printing orders, you represent and warrant that:

  • You own the copyright, trademark, or appropriate licensing rights to use and print the Artwork.
  • The Artwork does not infringe upon the intellectual property rights, privacy rights, or publicity rights of any third party.
  • The Artwork does not contain obscene, defamatory, illegal, or hateful material.

Right to Refuse Content

We reserve the right, but have no obligation, to review submitted Artwork. We may refuse to print any order that we believe violates third-party intellectual property rights, local laws, or our internal safety and ethical standards.

Digital Proof Approval

For custom printing orders, we may provide a digital proof via email for your review and approval before manufacturing begins.

  • Your Responsibility: You are solely responsible for thoroughly checking the proof for spelling, grammar, orientation, size, and layout.
  • Final Approval: Once you approve a digital proof, the order goes directly into production. We are not liable for any layout or text errors present on the approved proof. No changes or cancellations can be made after approval.

5. Payments, Taxes, and Billing

Payment Methods

We accept payments through the secure methods displayed on our Site at the checkout phase (e.g., major credit cards, PayPal, bank transfers). You authorize us to charge your selected payment method for the total amount of your order, including applicable taxes and shipping fees.

Billing Information

You must provide valid, complete, and accurate billing and payment information. If your payment is declined, unauthorized, or suspected of fraud, we reserve the right to cancel your order immediately without liability.

Taxes and Duties

Orders shipped within Canada are subject to applicable federal and provincial taxes (GST, HST, PST) based on the shipping destination. For international shipments, you are solely responsible for paying any import duties, customs tariffs, and local consumption taxes assessed by your country’s customs authorities.

6. Shipping and Delivery

All shipments are subject to our Shipping Policy. Turnaround and production times listed on the Site are estimates and do not include the time required for transit. PF Printing and Labels Inc. is not responsible for shipment delays caused by shipping carriers, severe weather, customs inspections, labor disputes, or other disruptions beyond our reasonable control.

7. Returns, Refunds, and Replacements

All purchases are subject to our Refund and Returns Policy.

  • No Refund Without Return: We strictly enforce a policy where no refunds, reprints, or account credits will be issued without the physical return and inspection of the products at our Mississauga warehouse.
  • Custom Products Finality: Because custom-printed items cannot be resold, returns are only accepted if a severe manufacturing defect exists that deviates directly from your approved digital proof.

8. Intellectual Property Rights

Our Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by PF Printing and Labels Inc. or its licensors. They are protected by Canadian and international copyright, trademark, patent, and trade secret laws.

Limited License

We grant you a personal, non-exclusive, non-transferable, revocable license to access and use our Site solely for purchasing custom labels and interacting with our Services. You may not copy, reproduce, modify, distribute, or reverse-engineer any part of this Site without our explicit written permission.

Customer Indemnity

You retain ownership of the Artwork you upload. However, by submitting Artwork, you grant us a royalty-free, worldwide, non-exclusive license to use, reproduce, modify, crop, and display your Artwork solely for the purpose of fulfilling and manufacturing your print order.

9. Prohibited User Activities

You agree not to use the Site or Services to:

  • Conduct any fraudulent, unlawful, or unauthorized business activity.
  • Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
  • Upload, transmit, or distribute viruses, malware, trojan horses, or any software designed to disrupt, damage, or limit the functionality of the Site.
  • Use automated bots, scrapers, spiders, or scripts to collect data, scrape content, or interact with the Site’s forms without permission.
  • Interfere with or bypass the security features of the Site or attempt to gain unauthorized access to our hosting servers, databases, or networks.

10. Limitation of Liability

To the maximum extent permitted by applicable law, PF Printing and Labels Inc., its directors, officers, employees, affiliates, agents, or contractors shall not be liable for any indirect, incidental, punitive, special, or consequential damages. This includes, without limitation, damages for loss of profits, revenue, data, goodwill, use, or other intangible losses arising out of or related to:

  • Your use of, or inability to use, the Site or Services.
  • Any errors, inaccuracies, or omissions in the content of the Site.
  • Delay or failure in production or delivery due to events beyond our control.
  • Defects or flaws in printed products, except as expressly provided in our Refund Policy.

In no event shall our total aggregate liability to you for all claims, damages, and causes of action exceed the total amount paid by you to us for the specific order giving rise to the liability.

11. Disclaimer of Warranties

Your use of the Site and Services is at your own risk. The Site and all products and Services delivered to you through the Site are provided on an “as is” and “as available” basis, without any warranties or conditions of any kind, either express or implied.

We disclaim all warranties, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, durability, title, and non-infringement. We do not warrant that the operation of the Site will be uninterrupted, secure, or free from technical errors or data loss.

12. Indemnification

You agree to defend, indemnify, and hold harmless PF Printing and Labels Inc., its parent companies, subsidiaries, affiliates, partners, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation or breach of these Terms of Service.
  • Your use or misuse of the Site or Services.
  • Any claim that your submitted Artwork infringes upon the copyright, trademark, patent, trade secret, or privacy rights of any third party.
  • Your violation of any applicable local, provincial, national, or international law.

13. Termination of Services

We reserve the right, in our sole discretion and without notice or liability, to terminate or suspend your account, restrict your access to all or part of the Site, or refuse to fulfill pending orders if:

  • You breach or violate any provision of these Terms of Service.
  • We suspect you are engaged in fraudulent, abusive, or illegal activities.
  • We decide to permanently discontinue or modify the Site or any of our commercial services.

Upon termination, your right to use the Site will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

Governing Law

These Terms of Service, along with your use of the Site and purchase of Services, shall be governed by, interpreted, and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Jurisdiction

Any legal action, suit, or judicial proceeding arising out of or relating to these Terms shall be instituted exclusively in the courts located in the judicial district of Toronto or Peel Region in Ontario, Canada. You consent to the personal jurisdiction and venue of these courts.

15. Severability and Entire Agreement

Severability

If any provision or part of these Terms of Service is determined by a court of competent jurisdiction to be unlawful, void, or unenforceable, that specific provision shall be deemed severable from the remaining Terms and shall not affect the validity, legality, and enforceability of any other remaining provisions.

Entire Agreement

These Terms of Service, along with our Privacy Policy, Shipping Policy, and Refund Policy, constitute the complete, entire, and exclusive agreement between you and PF Printing and Labels Inc. regarding your use of the Site and purchase of Services. They supersede all prior or contemporaneous agreements, understandings, communications, or proposals, whether oral or written, between you and us.

16. Changes to the Terms of Service

We reserve the right, at our sole discretion, to update, alter, or replace any part of these Terms of Service by posting updates and changes directly to our Site.

It is your responsibility to check our Site periodically for changes. Your continued use of or access to our Site or Services following the posting of any changes to these Terms of Service constitutes your unconditional acceptance of those modifications.
